Terms and Conditions — Perth AI Consulting

These terms govern all services provided by Perth AI Consulting, a sole trader business operated by Paul Morgan and based in Perth, Western Australia ("we", "us", "our").

1. Services and Scope

We offer three services:

AI Opportunity Analysis ($1,000–$2,000)

A structured evaluation of your business operations to identify where AI delivers measurable value. Typical engagement: 1–2 weeks.

The primary deliverable is the written report — a structured evaluation of your business operations with prioritised recommendations, estimated impact, and implementation pathways. The client owns this report outright.

To demonstrate the highest-impact opportunity, we build a working prototype during the analysis. This prototype remains the intellectual property of Perth AI Consulting and is hosted on our infrastructure for 90 days for evaluation purposes. It is not a deliverable — it is a demonstration of what is possible.

The concepts, ideas, and recommendations in the report are unrestricted. The client is free to implement them with any provider.

Integration, customisation, and deployment into the client's environment are scoped separately under the Build service.

Build ($5,000–$20,000)

Custom AI tool development — chatbots, calculators, content engines, lead capture systems, and integrations purpose-built for your workflow. The Build service takes a validated concept (typically from an Analysis prototype) and delivers a production-ready system integrated into your environment.

Typical engagement: 2–8 weeks. Scope, deliverables, and pricing are agreed in writing before work begins.

Retain ($500–$2,000/month)

Ongoing monthly engagement covering AI content, SEO, tool maintenance, performance monitoring, and strategy. Scope is agreed on a per-engagement basis and reviewed monthly.

2. Pricing and Payment

For Analysis and Build engagements, we do not require deposits or upfront payment. Payment is due within 14 days of delivery. If the client raises concerns about the deliverables within 7 days of delivery, we will make reasonable adjustments within the agreed scope. Deliverables are considered accepted if no concerns are raised within 7 days.

Retain engagements

Monthly invoices are issued at the start of each month. Payment is due within 14 days.

All prices are in Australian dollars (AUD) and are exclusive of GST unless stated otherwise.

3. Intellectual Property

Client ownership

Upon full payment, the client owns the analysis report and all Build deliverables — including source code, configurations, and assets created specifically for the client's engagement.

Analysis prototypes remain the intellectual property of Perth AI Consulting. The prototype demonstrates the opportunity; ownership of the production implementation transfers under the Build service.

Our retained rights

We retain the right to use general knowledge, techniques, methodologies, and skills gained during the engagement. These are not client-specific and form part of our professional expertise.

We retain the right to use anonymised, non-identifiable details of the engagement as case studies for marketing and portfolio purposes — unless the client opts out in writing. No confidential information, business names, or identifying details will be used without explicit written consent.

Pre-existing materials

Any tools, frameworks, libraries, or code that existed before the engagement and are incorporated into deliverables remain our intellectual property. The client receives a perpetual, non-exclusive licence to use these materials as part of the delivered solution.

4. Confidentiality

We treat all client information as confidential. This includes business data, operational details, financial information, customer data, and strategic information shared during the engagement.

We will not disclose confidential information to third parties without written consent, except where required by law.

This obligation survives the termination of the engagement.

5. Hosting and Infrastructure

Prototypes and demonstrations produced during Analysis engagements are hosted on Perth AI Consulting's infrastructure (Cloudflare Pages and associated services). They are not deployed to the client's systems.

Access to prototypes is provided via a URL for demonstration and evaluation purposes. Prototypes are hosted for 90 days from delivery of the analysis report. Continued hosting beyond this period is available under the Retain service. Perth AI Consulting reserves the right to remove prototype hosting after the 90-day period without further notice.

Production deployment to the client's infrastructure is scoped under the Build service.

6. Data Handling and Privacy

We handle client data guided by the principles of the Australian Privacy Act 1988 and the Australian Privacy Principles (APPs).

Client data shared during engagements is used solely for delivering the agreed services. It is not shared with third parties, used for marketing, or retained beyond the engagement unless agreed in writing.

7. Limitation of Liability

Our services are provided in good faith and to professional standards. However:

AI systems produce probabilistic outputs. We do not guarantee specific business outcomes, revenue increases, or performance metrics. Projections included in analysis reports are estimates based on available data and professional judgement.
Prototypes are demonstrations, not production systems. They are not warranted for reliability, uptime, or performance under production conditions.
Our total liability for any claim arising from an engagement is limited to the fees paid for that engagement.
We are not liable for indirect, consequential, or incidental losses including lost revenue, lost data, or business interruption.

Nothing in these terms excludes or limits liability that cannot be excluded under Australian Consumer Law, including guarantees relating to the supply of services.

8. Australian Consumer Law

Our services come with guarantees that cannot be excluded under the Australian Consumer Law (ACL). You are entitled to a remedy if services are not delivered with due care and skill, are not fit for a specified purpose, or are not delivered within a reasonable time.

For major failures, you may be entitled to cancel the service and obtain a refund, or seek compensation for the difference in value. For minor failures, you are entitled to have the issue rectified within a reasonable time.

9. Termination and Cancellation

By the client

You may cancel an engagement at any time by providing written notice. For work already completed up to the cancellation date, payment is due at the agreed rate proportional to work delivered.

By us

We may terminate an engagement with 14 days' written notice if the client fails to provide required information or access, payment is overdue by more than 30 days, or continuation is not reasonably practical.

Retain engagements

Either party may cancel a Retain engagement with 30 days' written notice. The current month's work will be completed and invoiced as normal.

10. Dispute Resolution

If a dispute arises, we will first attempt to resolve it through direct discussion. If the matter cannot be resolved informally within 14 days, either party may refer the dispute to mediation administered by the Resolution Institute (or equivalent body in Western Australia).

The costs of mediation will be shared equally. Litigation is a last resort and may only be commenced after mediation has been attempted in good faith.

11. Governing Law

These terms are governed by the laws of Western Australia. Both parties submit to the exclusive jurisdiction of the courts of Western Australia.

12. Changes to These Terms

We may update these terms from time to time. Changes will be posted on this page with an updated date. Material changes will be communicated to active clients by email. Continued engagement after changes are posted constitutes acceptance of the updated terms.
